CONSTITUTION AND BYLAWS OF THE BETTER BLACK MUSIC PRIVATE MEMBERSHIP ASSOCIATION

 

PREAMBLE

We, the sovereign remnant of the Black community, seeking economic self-determination, financial stability, and cultural autonomy, hereby establish the Better Black Music Private Membership Association (the "BBM PMA"). Guided by the principles of Kemet—foundational math, true wealth, and righteous civilization—we unite under the protection of the Constitutions of the United States and our respective States to form a closed-loop private economy.

Our mission is to operate an exclusive asset dispensary, utilizing BBMusic cultural engagement and the KemWay Mint Marketplace to distribute physical gold and silver ("Melanated Currency") back into the hands of our people.

 

 

ARTICLE I: DECLARATION OF PRIVATE STATUS

1. Constitutional Protection: This Association is established under the protections guaranteed by the First, Fourth, Ninth, and Fourteenth Amendments to the Constitution of the United States. We explicitly invoke our right to freedom of private association and freedom of private contract.

2. Exclusion of the Public Domain: By joining this Association, members voluntarily step out of the public marketplace and enter a private domain. All business, interactions, media streaming, asset minting, and commerce conducted within this Association are strictly private matters between members.

3. Exclusion of Public Regulatory Authority: No public administrative agencies, state authorities, or corporate regulators shall have jurisdiction over the private exchanges, asset distributions, or internal affairs of this Association, except in cases of clear and present danger to life or property.

 

 

ARTICLE II: MEMBERSHIP FEES & TIERS

1. Voluntary Application: Membership is a privilege, not a right. Admission is granted strictly to individuals and businesses who complete our onboarding requirements and maintain an active subscription.

2. Pricing Structures:

   • Membership ($24.99/mo): Includes full iMusic library access and monthly gold distribution eligibility.

   • All-Access KemWay Mint Tier ($45.99/mo): Unlocks dual-minting privileges across both music and physical goods (shoes, household items, everyday essentials).

   • Digital Goods: iMusic Singles are set at $4.95 per track download. Full albums are set at $26.99+ per collection download.

 

 

ARTICLE III: THE SPENDING FLIP & ASSET DISTRIBUTION

1. The Infrastructure: All physical metal rewards are processed through our private "Spending Flip" infrastructure and deposited securely as real asset weight into your designated Cwallet ID.

2. Rebate Rules:

   • Singles ($4.95): Triggers a $2.40 Silver (1g) rebate. Members must manually claim this by submitting their Cwallet ID via our verification form link post-purchase.

   • Albums ($26.99 -$49.99): Triggers an automatic $10.00 -$20.00 Silver deposit using the mandatory checkout Cwallet ID.

   • Monthly Dividends: Active accounts accrue $3.00 in physical Gold monthly, plus a recurring $2.00 in Gold monthly per active member referred.

3. Fees & Swaps: BBM covers 100% of the initial fiat-to-precious-metal asset swap fees and network delivery costs to your Cwallet.

4. Nature of Assets: Members explicitly agree that they are not purchasing financial securities, investment contracts, or speculative financial instruments. The allocation of gold and silver to member accounts represents a private, incentive-based commodity distribution.

 

 

ARTICLE IV: STRICT NO-REFUND POLICY

All sales are final due to instant digital delivery and immediate, fluctuating precious metal asset allocations.

1. Digital Files: No refunds or chargebacks are permitted on delivered track or album MP3s.

2. Asset Conversions: Paid USD is immediately deployed to back the community treasury in physical gold/silver. Because market spot-prices fluctuate, these assets cannot be reversed into fiat cash.

3. Cancellations: You can cancel your monthly membership subscription at any time to stop future billing cycles. However, past subscription payments are non-refundable, and any unclaimed rewards or pending gold allocations are instantly forfeited upon account closure.

 

 

ARTICLE V: PRIVATE DISPUTE RESOLUTION

1. Waiver of Public Courts: Every member, by completing their purchase, explicitly waives their right to file a lawsuit in a public court of law against the Association, its founders, or fellow members regarding Association matters.

2. Internal Arbitration: Any and all disputes, delivery discrepancies, or grievances regarding subscriptions, store products, or metal balances must be submitted in writing to the internal BBM Advisory Board. The decisions of the Advisory Board are final, binding, and absolute.
